Audit Committee >
The Board of the Egyptian Resorts Company has appointed the Audit Committee to ensure Corporate Accountability. The Audit Committee shall assist the Board in monitoring the integrity of ERC's financial reporting process, systems of internal audits and controls as well as financial statements and reports. The Audit Committee also monitors ERC's compliance with legal and regulatory requirements and is responsible for appointing and overlooking ERC's independent auditors. The Committee is expected to maintain free and open communication with the independent auditor, the internal auditors, and management. This communication will include periodic private executive sessions with each of these parties.

Executive Committee >

The Executive Committee has been formed for the general purpose of studying and analyzing the issues and topics assigned to it by the Board of Directors and/or the Chairman of the Board and revert back with advice and also to give recommendations regarding proposed actions by the CEO aimed at serving the company’s objectives in implementing its strategy before being presented to the board.

Human Resources Committee >

The Human Resources Committee has been formed for the general purpose of reviewing the hierarchy and the possibility of development and follow-up the performance and capability of the Chief Executive Officer in attracting, selecting and hiring employees as well as applying efficient polices to verify that salaries, benefits, conditions of bonuses, pensions, development, and training are suitable.

Technical Committee >

The Technical Committee has been formed for the general purpose of reviewing different projects phases Implemented by the company as well as studying and analyzing the issues and topics assigned to it by the Board of Directors and/or the Chairman of the Board and revert back with advice and also to give recommendations regarding technical aspects of the operational performance of the Company.

External Auditor >
  • ERC external auditor is KPMG Hazem Hassan.
  • The board nominates an external auditor with a good reputation and experience on the recommendation of the audit committee.
  • The external auditor is independent from the company and the board, he is appointed and his annual remuneration is determined by the GA.
  • The external auditor fully abides with Egyptian accounting principles and rules.
  • The external auditor can’t be contracted for additional company work without the prior approval of the audit committee.
 
Rules to Avoid Conflict of Interests >
  • ERC has clear and recognized regulations for the directors and staff regarding the prevention of conflict of interests.
  • Board members, senior managers and staff may not trade company stocks before the disclosure of the company's financial statements or the disclosure of any other information that might have a financial impact. They also may not trade company stocks after sudden events that affect the company's financial status until such information is disclosed to the public.
  • ERC has also a strict related party transaction policy according to which any related party transaction should be approved by the audit Committee and disclosed in order to avoid conflict of interest.
